Terms of Service

Effective: April 29, 2026

1. Acceptance

By creating an account, downloading, or using the Wisdom Layer SDK (“Software”), you agree to these Terms of Service (“Terms”). If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization.

2. License Grant

Subject to these Terms and payment of applicable fees, Rhatigan AGI LLC (d/b/a Rhatigan Labs) (“we”, “us”) grants you a non-exclusive, non-transferable, revocable license to use the Software in accordance with your subscription tier:

  • Free ($0): Memory capture, semantic search, SQLite backend. Up to 3 agents per install, 1,000 memories per agent, and 1,500 messages per rolling 30-day window. No commercial restrictions on internal use. Customer-facing or multi-tenant deployments require Pro, Team, or Enterprise as applicable.
  • Free — 14-day Pro Trial: Every new Free signup receives 14 days of full Pro feature access starting at signup. During the trial all Free caps are lifted and Pro-tier features (dream cycles, directives, critic, Tier 2/3 memory, dashboard, analytics) are unlocked. On day 15 the agent automatically reverts to Free behavior. No data is deleted during this transition; all accumulated memories, directives, and history remain on disk.
  • Pro ($99/mo): All Free features plus dream cycles, directives, critic, health analytics, provenance, dashboard, Postgres backend, and integrations. Single seat. Internal and single-product production use. Customer-facing or multi-tenant deployments (one agent per end user) require Enterprise.
  • Team ($249/mo): All Pro features. Up to five (5) named developer seats under one license, with shared billing. Same SDK feature set as Pro. Customer-facing or multi-tenant deployments require Enterprise.
  • Enterprise (from $24,000/yr): All Pro / Team features plus multi-tenant and multi-agent deployments, customer-facing licensing, custom storage backends, provenance and cost export, custom dream phases, air-gapped operation, implementation support, contractual IP / audit / SLA terms, and dedicated support channels. Negotiated per contract.

3. License Keys

License keys are issued per account and are not transferable. You may not share, sell, or redistribute your license key. Team licenses are scoped to a single organization and may be installed on machines used by your authorized seats; sharing the key beyond the seat allowance is a breach of these Terms. We may revoke keys that are shared or used in violation of these Terms.

4. Intellectual Property

The Software, including compiled binaries, algorithms, prompt templates, and documentation, is the exclusive property of Rhatigan AGI LLC (d/b/a Rhatigan Labs). Patent pending (US). You may not reverse engineer, decompile, or disassemble the compiled portions of the Software.

5. On-Premises Deployment & Telemetry

The Software runs on your infrastructure. Memory contents, directive bodies, prompts, LLM responses, and agent state remain on your hardware. License key validation requires periodic connectivity to our API (api.wisdomlayer.ai) with a 72-hour offline grace period.

SDK Telemetry. The Software collects an anonymous, counts-only telemetry payload (number of agents, memories, messages over the last 30 days, atomic facts, dream cycles, active directives; plus SDK version, OS family, and Python version) tied to a randomly generated install_id stored at ~/.wisdom_layer/install_id. No memory contents, directive bodies, prompts, LLM responses, API keys, or end-user data are ever included. Telemetry defaults differ by tier:

  • Free: telemetry is on by default and sends one payload per day. By installing and continuing to use the Free tier you accept the telemetry described above. You may opt out at any time with wisdom-layer telemetry off; we add your install_id to a deny-list and queue your existing rows for deletion within thirty (30) days.
  • Pro and Team: telemetry is off by default and requires explicit opt-in.
  • Enterprise: telemetry is off by default and may be disabled contractually for fully air-gapped deploys.

Raw telemetry events are retained for twelve (12) months. After that retention period, raw rows are deleted and only aggregated daily rollups (counts by tier, version, OS) are retained indefinitely. Aggregated rollups contain no install-level identifiers. Full details are described in our Privacy Policy.

6. Payment & Billing

Pro and Team subscriptions are billed monthly via Stripe. Enterprise subscriptions are billed annually per the contract. You may cancel Pro or Team at any time. Upon cancellation or downgrade, your agents retain all accumulated memories and directives, but Pro-tier features (dream cycles, directive evolution, critic, Tier 2/3 memory) stop running and Free caps re-engage. No refunds for partial months. The 14-day Pro trial included with Free signup is non-recurring and non-extendable; one trial per email address.

7. Data Ownership

You own all data processed by the Software, including memories, directives, dream journals, and provenance logs. We have no access to your data. Upon termination, you retain full access to your local database files.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

9. Limitation of Liability

IN NO EVENT SHALL RHATIGAN AGI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Acceptable Use

You agree not to:

  • Use the Software for illegal purposes or to harm others
  • Attempt to circumvent license restrictions or tier gating
  • Reverse engineer compiled components of the Software
  • Redistribute the Software or any portion thereof
  • Use automated means to create multiple free accounts

11. Termination

We may terminate your license if you breach these Terms. You may terminate at any time by cancelling your subscription and ceasing use of the Software. Sections 4, 7, 8, 9, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via email. Continued use after notice constitutes acceptance.
