Terms of Service

Effective: May 21, 2026

1. Acceptance

By creating an account, downloading, or using the Wisdom Layer SDK (“Software”), you agree to these Terms of Service (“Terms”). If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization.

2. License Grant

Subject to these Terms and the written agreement governing your access, Rhatigan AGI LLC (d/b/a Rhatigan Labs) (“we”, “us”) grants you a non-exclusive, non-transferable, revocable license to use the Software within the scope of that agreement.

During the current private preview, the Software is distributed only to selected partners under negotiated terms. Public self-serve tiers (Free, Pro, Team, Business, Enterprise), published pricing, and the 14-day Pro trial referenced in earlier versions of these Terms are paused; they remain on file as the framework that will apply when public distribution resumes, but no new self-serve grant is offered while the Software is in private preview. Partner deployment rights (internal use, customer-facing, multi-tenant, embedded, OEM, white-label, regulated) are defined in each partner's agreement.

3. License Keys

License keys are issued per account and are not transferable. You may not share, sell, or redistribute your license key. Team and Business licenses are scoped to a single organization and may be installed on machines used by your authorized seats (10 for Team, 50 for Business); sharing the key beyond the seat allowance is a breach of these Terms. We may revoke keys that are shared or used in violation of these Terms.

4. Intellectual Property

The Software, including compiled binaries, algorithms, prompt templates, and documentation, is the exclusive property of Rhatigan AGI LLC (d/b/a Rhatigan Labs). Patent pending (US). You may not reverse engineer, decompile, or disassemble the compiled portions of the Software.

5. On-Premises Deployment & Telemetry

The Software runs on your infrastructure. Memory contents, directive bodies, prompts, LLM responses, and agent state remain on your hardware. License key validation requires periodic connectivity to our API (api.wisdomlayer.ai) with a 72-hour offline grace period.

SDK Telemetry. The Software collects an anonymous, counts-only telemetry payload (number of agents, memories, messages over the last 30 days, atomic facts, dream cycles, active directives; plus SDK version, OS family, and Python version) tied to a randomly generated install_id stored at ~/.wisdom_layer/install_id. No memory contents, directive bodies, prompts, LLM responses, API keys, or end-user data are ever included.

During the private preview, partner installs default to telemetry off; any exception is set out in the partner agreement. Opt-out remains available via wisdom-layer telemetry off, which adds the install_id to a deny-list and queues existing rows for deletion within thirty (30) days. The tier-based defaults below describe the model that applies when public self-serve resumes:

• Free: telemetry is on by default and sends one payload per day. Opt out with wisdom-layer telemetry off.
• Pro, Team, and Business: telemetry is off by default and requires explicit opt-in.
• Enterprise: telemetry is off by default and may be disabled contractually for fully air-gapped deploys.

Raw telemetry events are retained for twelve (12) months. After that retention period, raw rows are deleted and only aggregated daily rollups (counts by tier, version, OS) are retained indefinitely. Aggregated rollups contain no install-level identifiers. Full details are described in our Privacy Policy.

6. Payment & Billing

Self-serve subscription billing via Stripe is paused during the private preview. Partner licenses are billed under the terms of the applicable written agreement (typically annual, by invoice). Upon termination or downgrade of a partner license, your agents retain all accumulated memories and directives on your local infrastructure, but tier-gated features stop running per the runtime's license check. The framework below describes the billing model that will apply when public self-serve resumes: Pro, Team, and Business subscriptions billed monthly or annually via Stripe; Enterprise billed annually per contract; no refunds for partial billing periods; the 14-day Pro trial non-recurring, non-extendable, one per email address.

7. Data Ownership

You own all data processed by the Software, including memories, directives, dream journals, and provenance logs. We have no access to your data. Upon termination, you retain full access to your local database files.

8. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

9. Limitation of Liability

IN NO EVENT SHALL RHATIGAN AGI LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Acceptable Use

You agree not to:

• Use the Software for illegal purposes or to harm others
• Attempt to circumvent license restrictions or tier gating
• Reverse engineer compiled components of the Software
• Redistribute the Software or any portion thereof

11. Termination

We may terminate your license if you breach these Terms. You may terminate at any time by cancelling your subscription and ceasing use of the Software. Sections 4, 7, 8, 9, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.

13. Changes

We may update these Terms from time to time. Material changes will be communicated via email. Continued use after notice constitutes acceptance.
